Legal Counsel, Legal & Transaction Management


Reporting to the Senior Legal Counsel of the Legal & Transaction Management (LTM) department, the Legal Counsel will be based in London. The successful applicant will assist on and manage a range of aircraft leasing and sales transactions from Letter of Intent (LOI) stage to closing, primarily focusing on the European & African regions but also supporting transactions in the Americas as required.

 

Responsibilities:

  • Proactively managing, or being a core member of the deal team for, aircraft leasing, aircraft delivery and aircraft sale transactions to ensure swift and efficient closings. Day-to-day work will include drafting and negotiating principal, ancillary and delivery documents, liaising with airline and lessor counterparties as well as the OEMs and external/local counsel, and running conditions precedent processes.
  • Taking an active role in the preparation and negotiation of LOIs for transactions in the region.
  • Preparing approval papers for the Company and its subsidiaries for presentation and approval in respect of each transaction being managed.
  • Ensuring compliance with internal processes for sign offs, approvals, waivers etc. and undertaking transaction reporting as needed for each transaction being managed.
  • Assisting with lease enforcement and/or litigation activities in respect of aircraft portfolio.
  • Assisting with building the Legal Department’s precedent and legal knowledge database.
  • Other tasks as assigned by the Head of Department, Deputy Head of Department, and/or Senior Legal Counsel who is also based in London.

 

Requirements:

  • Qualified lawyer ideally with at least two years post-qualification experience.
  • Two or more years of work experience in an international aviation law firm and/or aircraft leasing company.
  • Excellent verbal and written communication capabilities.
  • Strong analytical and evaluation skills.
  • Meticulous attention to detail, while working in a fast-paced environment.
  • Driven, proactive, diligent with a strong work ethic.
  • Ability to handle multiple priorities and work under pressure.
  • A team player with a positive outlook.
  • Proficiency in Word, Excel and content management systems.
